Varian Acquisition Frequently Asked Questions

Varian, Inc. has officially become part of Agilent Technologies. As one company, we will use our complementary strengths and common values to offer our customers a more comprehensive set of solutions across a wider range of industries.

You are an important part of helping us meet our customer commitments. In fact, we are counting on you to supply materials and services just as you have been in order to meet and exceed our customers' needs.

Following the close of the acquisition, please continue to work with the businesses you supply as you have been doing. We expect that it will take several months or more to fully combine the two companies. During that time, the integration of the two current supply bases will be a major focus of the Procurement team and this will result in changes and opportunities over time for the best performing and preferred suppliers of both companies. Please continue to work with us just as you did with Varian. While we are making every effort to ensure that all of the details of the acquisition are transparent to you, it is likely that you may have questions. All of the support mechanisms - websites, phone numbers and other electronic methods - will continue to work as they did prior to the acquisition, and we will be using them to provide you with regularly updated information. If needed, we will contact you directly.

Frequently Asked Questions

On Nov. 1, 2010, direct material suppliers will see the Varian logo and legal entity name change to Agilent Technologies on purchase orders, but the invoice address will not change.
 
Indirect material suppliers will see the Varian logo, legal entity name and invoice address change because indirect purchasing will move from Varian SAP to Agilent's Oracle system.

If the suppliers support both direct and indirect materials, they should follow and comply with the legal entity and invoice address on purchase orders received after Nov. 1.

If you are a supplier to Varian

Q: Will I continue to be a supplier now that Varian has become part of Agilent?
A: You should continue to support Varian business, now that it is Agilent, just as you have been doing. In the next several months, our Supply Chain and Procurement teams will complete the integration of Varian into Agilent, resulting in a new, combined business model.

Q: How will I receive purchase orders now?
A: There will be no immediate change. Continue to work with your current contacts. You will be contacted directly should there be changes in the future.

Q: Where do I send my invoices after Nov. 1, 2010?
A: Direct material suppliers: Please continue to send your invoices to the same address you have been using. Please also make sure to update your customer master records with the updated  legal entity names and VAT ID for tax purposes.

Note to the vendor: Please confirm with the buyer / requestor about the nature of the items purchased. If they are direct material purchases (Inventory) or meant for resale, Agilent would claim an exemption, and thus the buyer would provide you with Agilent’s tax exemption certificate when initiating a purchase order.

Indirect material suppliers: Please send the invoices to the Bill-to address for your country . Please also make sure to update your customer master records with the updated  legal entity names and VAT ID for tax purposes.

Q: Will my payment terms change?
A: There is no change for direct material suppliers. Payment terms are provided on the purchase order.
Agilent standard terms are net 45. However, you will be contacted in advance if the payment terms are being considered for revision based on Agilent Purchasing / procurement practices.

Q: Will the combination of Varian with Agilent mean possible new business for me?
A: Yes, there is definitely potential for new or increased business opportunities for our highest-performing suppliers. We will review the supply bases of both Agilent and Varian over the next several months or so and determine the best way to support the overall supply-chain strategy of the combined company. As we identify preferred sources of supply, there may be potential opportunity for top performing suppliers.

Q: I am a Varian supplier for indirect material/services. How can I ensure that Agilent continues to use my services?
A: We are in the process of looking at our supply base. We will not make any immediate changes now. Further communication regarding changes will be coming over the next several months.

Q: I have an outstanding invoice or I need further assistance with my invoice. Who can I contact?
A: Any invoices that need immediate attention / payment should be sent to the key Accounts Payable contacts below for priority handling.

If you are a supplier to both Agilent and Varian

Q: I supply material/services to both Agilent and Varian, may I send a single invoice after Nov. 1, 2010?
A: Please continue to send separate invoices because of two different mailing/processing addresses.
 
If you are a direct material supplier, you should continue to send your invoices to the same invoice address as before. Please update your customer master records for VAT ID and legal entity.

If you are an indirect material supplier, you should send your invoices to the Bill-to address for your country and update your customer master records for VAT ID and legal entity .

If you are a supplier who supports both direct and indirect materials, please follow and comply with the legal entity and invoice address on purchase orders received after Nov. 1.

If you are an Agilent supplier

Q: I am an Agilent supplier for indirect material/services. Who can I contact regarding changes to my contract as a result of the Varian acquisition?
A: There are no changes to your contract at this time. Agilent is in the process of looking at its new supply base and will contact you directly if changes in your contract are needed. We are working as quickly as possible, and appreciate your patience.
