"Use" means installing, executing, displaying or storing the Software. License Grant. Agilent grants you a non-exclusive and non-transferable license to Use the Software for internal purposes in accordance with these License Terms and the documentation provided with the product. Such documentation may include license terms provided by Agilent's third party suppliers, which will apply to the Use of the Software and take precedence over these License Terms. Customer is responsible for ensuring that the way that it uses Software complies with all applicable laws and regulations. No other rights to Use the Software are granted. License Restrictions. (a) You may not modify, reproduce, create derivative works, publicly display, distribute, or transfer to unauthorized third parties any information, materials or design information concerning the Software itself or obtained from use of the Software (i) for commercial distribution (ii) for use in commercial websites or other commercial repositories; and (iii) as not otherwise permitted. (b) You will not (i) reverse engineer, disassemble, decompile, decode, or adapt the Software, or otherwise attempt to derive or gain access to the source code of the Software, in whole or in part; or (ii) remove, deface, cover, alter or obscure any copyright or trademark notices and/or legends or other proprietary notices associated with the Software. Upgrades and Support. The license may entitle you to receive software upgrades, updates (excluding on-site upgrade installation) and standard phone technical support as set forth in the documentation. Notwithstanding the foregoing, the license does not entitle you to on-site training or scientific consultation. Additional support and consulting services may be purchased separately. Any supplemental software code provided to you as part of the technical support shall be considered part of the Software and subject to the terms and conditions of this License Agreement. Ownership. The Software is owned and copyrighted by Agilent or its third party suppliers. Agilent and its third party suppliers retain all right, title and interest in the Software. Agilent's third party suppliers may protect their rights in the Software in the event of any violation of these License Terms. Personal Data. You agree to provide data that is anonymized and does not include any direct or indirect identifiers of natural persons. This means that it must be impossible for Agilent or any third party to, directly or indirectly, identify the natural persons to whom such data relates. You expressly acknowledge that Agilent does not process any personal (including health) data of patients through the software. Privacy Policy. With respect to your personal data, Agilent may store, use and manage such personal data, which may include user names and e-mail addresses of your personnel, for the purpose of setting up accounts, providing customer service, and reporting. By accessing and using the software, you acknowledge this processing of personal data. For the purposes of the applicable data protection legislation, Agilent acts as the data controller and processes the personal data in order to fulfil this agreement with you. Agilent may transfer personal data outside of the EEA, including to Switzerland on the basis of the Commission's adequacy decision C (2000) 2304, or to other Agilent entities based on Standard Contractual Clauses C (2010) 593. The Software is not specifically designed, manufactured or intended for use in the planning, construction, maintenance or direct operation of a nuclear facility, nor for use in on line control or fail safe operation of aircraft navigation, control or communication systems, weapon systems or direct life support systems. Termination. Agilent may terminate your license upon notice for breach of these License Terms. Export Requirements. If you export, re-export or import Software, technology or technical data licensed hereunder, you assume responsibility for complying with applicable laws and regulations and for obtaining required export and import authorizations. Agilent may terminate these License Terms immediately if you are in violation of any applicable laws or regulations. U.S. Government Restricted Rights. Software and technical data rights granted to the federal government include only those rights customarily provided to end user customers.
